Acceptable Use Policy – Conversion Marketing Ltd

This policy is designed to help protect our customers, ourselves (Conversion Marketing Ltd) and the Internet community as a whole, from illegal and irresponsible activities.  The list of prohibited activities below is a non-exclusive list of the actions prohibited by us.

We reserve the right to change and update the Policy at any time, effective upon updating our Acceptable Use Policy and Web Services Terms page at http://www.Conversion Marketing.co.nz.

By using our services, you accept this Acceptable Use Policy (AUP) in full.

Prohibited Uses of Our Systems and Services

1) You may not use our services in any way which is unlawful, illegal, fraudulent or harmful, or in connection with any unlawful, illegal, fraudulent or harmful purpose or activity.

2) You may not use our services to copy, store, host, transmit, send, use, publish or distribute any material which consists of (or is linked to) any spyware, computer virus, Trojan horse, worm, keystroke, logger, rootkit or other malicious computer software.

3) You may not conduct any systematic or automated data collection activities (including without limitation scraping, data mining, data extraction and data harvesting) on or in relation to our services without our express written consent.

4) You may not use our services to transmit or send unsolicited commercial communications.

5) You may not attempt to gain unauthorised access to any computer resource or any account not belonging to you (e.g. “cracking”, “hacking”).

6) You are prohibited from attempting to obtain or obtaining a service in any way or by any means with the intent to avoid paying for the service.

7) You are prohibited from altering, accessing, destroying, or attempting to do any of these things, with the information belonging to any of our customers or end-users in any way whatsoever.

8) You are prohibited from knowingly engaging in any activities designed to harass, or that will cause a denial-of-service (e.g., synchronised number sequence attacks) to any other user whether on our network or on another provider’s network.

9) You warrant and represent that your user content will comply with this Acceptable Use Policy.

10) Your content must not be illegal or unlawful, must not infringe any third party’s legal rights, and must not be capable of giving rise to legal action whether against you or us or a third party (in each case under any applicable law).

11) Your content transmitted via the services and use of our services must not:

(a)            be libellous or maliciously false;

(b)            be obscene or indecent;

(c)            infringe any copyright, moral right, database right, trade mark right, design right, right in passing off, or other intellectual property right;

(d)            infringe any right of confidence, right of privacy, or right under data protection legislation;

(e)            constitute negligent advice or contain any negligent statement;

(f)            constitute an incitement to commit a crime;

(g)            be in contempt of any court, or in breach of any court order;

(h)            be in breach of racial or religious hatred or discrimination legislation;

(i)            be blasphemous;

(j)            be in breach of official secrets legislation;

(k)            be in breach of any contractual obligation owed to any person;

(l)            depict violence in an explicit, graphic or gratuitous manner;

(m)            be pornographic or sexually explicit;

(n)            be untrue, false, inaccurate or misleading;

(o)            consist of or contain any instructions, advice or other information which may be acted upon and could, if acted upon, cause illness, injury or death, or any other loss or damage;

(p)            constitute spam (Unsolicited Bulk Email or operating an account on behalf of, or in connection with, or reselling any service to, persons or firms listed in the Spamhaus Register of Known Spam Operations (ROKSO) database at www.spamhaus.org)

(q)            be offensive, deceptive, threatening, abusive, harassing, or menacing, hateful, discriminatory or inflammatory; or

(r)            cause annoyance, inconvenience or needless anxiety to any person.

(s)            interfere with the use of our network by other customers or authorised users.

12) Your content must be appropriate, civil, tasteful and accord with generally accepted standards of etiquette and behaviour on the internet.

13) You must not use our services to link to any website or web page consisting of or containing material that would, breach the provisions of this Acceptable Use Policy.

14) You must not submit any content that is or has ever been the subject of any threatened or actual legal proceedings or other similar complaint.

15) We reserve the right to edit or remove any material submitted via our services, or stored on our servers, or hosted or published as part of our services.

16) Notwithstanding our rights under this Acceptable Use Policy in relation to content, we do not undertake to monitor the submission of such content, or the publication of such content, via our services.

Limitations on Services Provided by Us

In addition to any other requirements of this AUP or the Terms and Conditions, the Service may only be used in a manner that is consistent with its purpose. We will determine whether this is the case at our sole discretion.

Limited warranties

You acknowledge that some of the information published via our services is submitted by users, and that we do not usually review, approve or edit such information.  We do not warrant the completeness or accuracy of the information published via our services; nor do we commit to ensuring that the services remain available or that the material is kept up-to-date.

To the maximum extent permitted by applicable law we exclude all representations, warranties and conditions relating to our services and the use of our services (including, without limitation, any warranties implied by law of satisfactory quality, fitness for purpose and/or the use of reasonable care and skill).

Limitations and exclusions of liability

Nothing in this Acceptable Use Policy will: (a) limit or exclude our or your liability for death or personal injury resulting from negligence; (b) limit or exclude our or your liability for fraud or fraudulent misrepresentation; (c) limit any of our or your liabilities in any way that is not permitted under applicable law; or (d) exclude any of our or your liabilities that may not be excluded under applicable law.

The limitations and exclusions of liability set out in this Section and elsewhere in this Acceptable Use Policy: (a) are subject to the preceding paragraph; and (b) govern all liabilities arising under the Acceptable Use Policy or in relation to the subject matter of the Acceptable Use Policy, including liabilities arising in contract, in tort (including negligence) and for breach of statutory duty.

To the extent that any services are provided free-of-charge, we will not be liable for any loss or damage of any nature.

We will not be liable to you in respect of any losses arising out of any event or events beyond our reasonable control.

We will not be liable to you in respect of any business losses, including (without limitation) loss of or damage to profits, income, revenue, use, production, anticipated savings, business, contracts, commercial opportunities or goodwill.

We will not be liable to you in respect of any loss or corruption of any data, database or software.

We will not be liable to you in respect of any special, indirect or consequential loss or damage.

You accept that we have an interest in limiting the personal liability of our officers and employees.  Having regard to that interest, you accept that we are a limited liability entity and agree that you will not bring any claim personally against individual officers or employees in respect of any losses you suffer in connection with our services or this Acceptable Use Policy.  This will not, of course, limit or exclude the liability of the company itself for the acts and omissions of our officers and employees.

Additional Obligations

1. It is your responsibility to comply with any instructions or requests made by us with regard to the hosting of your website, or your domain name or any other service in a timely fashion.

2. You are responsible for protecting your passwords and for any authorised or unauthorised use of our systems and/or networks. All actions resulting from your passwords being compromised will remain your sole responsibility.

3. You are responsible for all the content or information residing on, obtained or transmitted via the Service. You must provide appropriate protection to prevent minors (persons under 18 years of age) from accessing any unsuitable material published via any Service. You must ensure there is no content that could be considered threatening, obscene, indecent, defamatory, threatening or that otherwise could adversely affect any individual, group or entity.

Your Responsibility for Your Users

You are responsible for the activities of your users and by accepting service from us, you agree to ensure that your customers/representatives and end-users abide by this Policy. Complaints about your customers/representatives or end-users will be forwarded to your registered contact email address where possible. If you violate our Acceptable Use Policy (AUP), we reserve the right to terminate your services or take action to stop you from violating our AUP as we deem appropriate, without notice.

Indemnity

You hereby indemnify us and undertake to keep us indemnified against any losses, damages, costs, liabilities and expenses (including without limitation legal expenses and any amounts paid by us to a third party in settlement of a claim or dispute on the advice of our legal advisers) incurred or suffered by us arising out of any breach by you of any provision of this Acceptable Use Policy, or arising out of any claim that you have breached any provision of this Acceptable Use Policy.

Breaches of Acceptable Use Policy

Without prejudice to our other rights under this Acceptable Use Policy, if you breach this Acceptable Use Policy in any way, or if we reasonably suspect that you have breached this Acceptable Use Policy in any way, we may:

(a)            send you one or more formal warnings;

(b)            temporarily suspend your access to our services;

(c)          permanently prohibit you from accessing our services;

(f)            bring court proceedings against you for breach of contract or otherwise;

[(g)            suspend and/or delete your account; and/or

[(h)            delete and/or edit any or all of your user generated content.

Where we suspend or prohibit or block your access to our services you must not take any action to circumvent such suspension or prohibition or blocking (including without limitation creating and/or using a different account).

Variation

We may revise this Acceptable Use Policy from time-to-time.  The revised Acceptable Use Policy will apply to the use of our services from the date of the publication of the revised Acceptable Use Policy on our website (www.conversionmarketing.co.nz).  Please check this page regularly to ensure you are familiar with the current version.

Severability

If a provision of this Acceptable Use Policy is determined by any court or other competent authority to be unlawful and/or unenforceable, the other provisions will continue in effect.  If any unlawful and/or unenforceable provision would be lawful or enforceable if part of it were deleted, that part will be deemed to be deleted, and the rest of the provision will continue in effect.

Exclusion of third party rights

This Acceptable Use Policy is for the benefit of you and us, and is not intended to benefit any third party or be enforceable by any third party.  The exercise of our and your rights in relation to this Acceptable Use Policy is not subject to the consent of any third party.

Entire agreement

This Acceptable Use Policy, together with our Privacy Policy and Terms of Sale, constitute the entire agreement between you and us in relation to your use of our services, and supersede all previous agreements in respect of your use of our services.

Law and jurisdiction

This Acceptable Use Policy will be governed by and construed in accordance with New Zealand law, and any disputes relating to this Acceptable Use Policy will be subject to the non-exclusive jurisdiction of the courts of New Zealand.

Web and Digital Marketing Services Terms – Conversion Marketing Ltd

These Web and Digital Marketing Services Terms contain the terms and conditions upon which we provide our services.

We will ask you to agree to these Web and Digital Marketing Services Terms, and one or more Statements of Work, before we begin working with you.

1. Definitions and interpretation

In this agreement, the words defined below shall have the following meanings assigned to them, and similar expressions shall bear corresponding meanings:

1.1 In the Agreement:

Affiliate” means a company, firm or individual that Controls, is Controlled by, or is under common Control with the relevant company, firm or individual;

Agreement” means the agreement formed by the acceptance by the Client of:

(a) these Web and Digital Marketing Services Terms;

(b) any Statements of Work, Proposals, Orders, Contracts, Email confirmation of services, Programme Agreement and other Contracts agreed between the parties;

(c) the Schedules to these Web and Digital Marketing Services Terms insofar as applied by a Statement of Work, Proposal Contract, Program Agreement or other Contract;  and

(d) any amendments to the Agreement from time to time;

Business Day” means any week day, other than a bank or public holiday in New Zealand;

Business Hours” means between 09:00 and 17:00 on a Business Day;

Charges” means the amounts payable by the Customer to the Company under or in relation to the Agreement (as set out in the Schedules and Statements of Work);

Client” means the entity or individual specified as the Client in the Agreement.

Client Website” means the specific website referred to in the Agreement.

Commencement Date” means the date the Agreement is signed by the Client unless otherwise specified in the Agreement).

Company” means Conversion Marketing Ltd, a limited company incorporated in New Zealand having its registered office at Level 14, 5 Byron Avenue, Takapuna, Auckland, New Zealand.

Confidential Information” means:

(a)     any information supplied (whether supplied in writing, orally or otherwise) by one party to the other party marked as “confidential”, described as “confidential” or reasonably understood to be confidential;

(b)    trade secrets, documentation, files, data, content, intellectual property, materials or other proprietary information but does not include information which:

a.         is or becomes public knowledge other than by breach of this Agreement;

b.         is required to be disclosed by law;

c.          was known by the recipient as at the date of this Agreement;

d.         has been independently developed or acquired by the recipient without reference to the disclosing party’s Confidential Information; or

e.         is Data collected, stored, used and retained by Conversion Marketing in accordance with Schedule 6, clause 2.4,

where the burden of establishing any of the exceptions referred to in a. to e. will be upon the recipient;

Control” means the legal power to control (directly or indirectly) the  management of an entity (and “Controlled” will be construed accordingly);

Conversion Marketing” means Conversion Marketing Limited (NZBN: 9429030531567)

Customer” means the company, firm or person specified in the Statement of Work;

Consequential Loss” means loss beyond the normal measure of direct damages and includes without limitation and whether or not such loss would be within the normal measure of direct damages, indirect loss, loss of profit, loss of revenue, loss of business, loss or actual or anticipated savings, loss of bargain, loss of business reputation, loss of use, cost of capital or borrowings or costs of substitute goods, facilities or services and loss of opportunity (including opportunities to enter into arrangements with third parties).

Data’ has the meaning given in Schedule 6, clause 2.3.

Effective Date” means the date of execution of the Agreement;

Expiry Date” means the specified in the Proposal or Service Agreement.

Fees” means the fees (investment) set out in the Agreement.

First Invoice” means the first invoice issued by Conversion Marketing to the Client after the Commencement Date.

Force Majeure Event” means an event, or a series of related events, that is outside the reasonable control of the party affected (including failures of or problems with the internet or a part of the internet, hacker attacks, virus or other malicious software attacks or infections, power failures, industrial disputes affecting any third party, changes to the law, disasters, explosions, fires, floods, riots, terrorist attacks and wars);

GST”, “GST Law” and other terms used in clause 14 have the meanings given to them by the NZ Government Legislation and Tax System (Goods and Services Tax) Act 1985 (as amended from time to time).

Initial Term” means the term of this Agreement, commencing on the Commencement Date and expiring on the Expiry Date, unless terminated earlier in accordance with these terms and conditions.

Insolvency Event” means the following circumstances:

  • where the Defaulting Party enters into a compromise or arrangement (or announces one) as per the terms of the NZ Government Legislation and Insolvency Act 2006.
  • where a managing controller is appointed over the whole (or substantially the whole) of the Defaulting Party’s property; or
  • where the Defaulting Party enters into voluntary administration.

Intellectual Property Rights” means all intellectual property rights wherever in the world, whether registered or unregistered, including any application or right of application for such rights (and the “intellectual property rights” referred to above include copyright and related rights, moral rights, database rights, confidential information, trade secrets, know-how, business names, trade names, trade marks, service marks, passing off rights, unfair competition rights, patents, petty patents, utility models, semi-conductor topography rights and rights in designs);

Minimum Term” means the minimum period that is specified in the Project Confirmation document starting on the Effective Date;

Order” means the physical or electronic order summary form (Project Confirmation Document) provided by Conversion Marketing to the Client;

Personal Data” has the meaning given to it in the Data Protection Act 1998;

Proposal” means the physical or electronic proposal provided by Conversion Marketing to the Client.

Project Confirmation Document (PCD)” means the summary of services specified on the order form provided by Conversion Marketing to the Client.

Schedules” means the schedules attached to the Web Services and Digital Marketing Services Terms;

Services” means the Digital Marketing Services and advice provided by Conversion Marketing as outlined in the Agreement and all Services provided under the Agreement as specified in the Schedules and Statements of Work;

Software” means software and firmware provided by Conversion Marketing, and any associated documentation, and includes any updates, upgrades, error corrections, changes or revisions issued by Conversion Marketing as part of the Services.

Statement of Work” means a statement of work signed by the Client specifying the scope of the Services and other matters relating to the Agreement. This may be in the form of a Proposal, Project Confirmation Document or Order. On some occasions, email confirmation in writing may be accepted in replace of a signed Agreement. In this instance the services and Statement of Work will be clearly outlined in an email and confirmation and acceptance by reply email will constitute the Agreement;

Term” means the term of the Agreement; and

Year” means a period of 365 days (or 366 days if there is a 29 February during the relevant period) starting on the Effective Date or on any anniversary of the Effective Date.

1.2 In the Agreement, a reference to a statute or statutory provision includes a reference to:

(a) that statute or statutory provision as modified, consolidated and/or re-enacted from time to time; and

(b) any subordinate legislation made under that statute or statutory provision.

1.3 The Clause headings do not affect the interpretation of the Agreement.

1.4 The ejusdem generis rule is not intended to be used in the interpretation of the Agreement; it follows that a general concept or category utilised in the Agreement will not be limited by any specific examples or instances utilised in relation to such a concept or category.

1.5 Unless expressed to the contrary in these terms and conditions:

(a) words importing the singular include the plural and vice versa;

(b) if the day on which any act, matter or thing is to be done under this document is not a business day, that act, matter or thing may be done on the next business day; and

(c) a reference to:

(i) a person includes a partnership, joint venture, unincorporated association, corporation and a government or statutory body or authority;

(ii) any party includes that party’s executors, administrators, successors and permitted assigns, including any person taking by way of novation and, in the case of a trustee, includes any substituted or additional trustee;

(iii) time is to the local time in Auckland, New Zealand;

(iv) “$” or “dollars” is a reference to the legal currency of New Zealand;

(v) these terms and conditions include all schedules and annexures referred to in it; and

(d) headings do not affect the interpretation of these terms and conditions.

1.6 If there is any inconsistency between the Proposal or Order and these terms and conditions, then these terms and conditions will prevail.

2. Engagement of Conversion Marketing

2.1 These are the standard terms and conditions of Conversion Marketing, a provider of internet marketing services in New Zealand. These terms and conditions apply to all and every product and service provided by Conversion Marketing.

2.2 No Client’s terms and conditions, howsoever provided, do not form part of these terms and conditions (even if any representative of Conversion Marketing signs those terms and conditions and/or they are annexed to these terms and conditions or any Proposal or Order). The parties agree that any amendments to these terms and conditions can only be made in writing signed by authorised managers of both parties, including any inclusion of special conditions in or attached to any Proposal or Order.

2.3 By signing the Agreement (including by clicking the button/link on any electronic version of the Agreement) or by accessing or using any of the Services the Client agrees to and is bound by these terms and conditions.

2.4 Conversion Marketing reserves the right to accept or decline, in whole or in part, any request for Services placed by the Client.

2.5 Conversion Marketing will perform its obligations under this Agreement as an independent contractor. The parties acknowledge and agree that their relationship is one of principal and independent contractor, not employer and employee, principal and agent or partnership, and Conversion Marketing does not have the right or authority to act on behalf of or bind the Client unless Conversion Marketing has been expressly authorised to do so by the Client in writing.

3. Term

The Agreement will come into force on the Effective Date and will continue in force indefinitely, unless and until terminated in accordance with Clause 15, upon which it will terminate automatically, unless terminated earlier in accordance with Clause 15.

3.1 If no fixed term contract applies, the client must give Conversion Marketing at least 30 days notice prior to the cessation of the client’s services.

3.2 Subject to clauses 3.4 and 3.5, if the Client fails to provide written notice in accordance with clause 3.1, the Agreement will automatically renew on a monthly basis on the same terms and at Conversion Marketing’s then current fees (as provided to the Client) as this Agreement insofar as they can be applied to a monthly agreement.

3.3 If the Agreement is renewed on a monthly basis, either party may terminate the monthly Agreement by giving the other at least 30 days written notice, which notice may be given at any time.

3.4 During the Initial Term, Conversion Marketing may notify the Client that it does not wish to continue the parties’ working relationship in which case this Agreement will terminate on the Expiry Date.

3.5 If the Client signs a new Agreement after the Expiry Date, the terms of the new Agreement (including the Fees specified therein) will apply.

3.6 Nothing in this Agreement places an obligation on Conversion Marketing to continue the parties’ working relationship.

4. Services

The Company will provide to the Customer during the Term the Services specified in the applicable Statements of Work.

5. Customer obligations

5.1 The Customer will provide the Company with all co-operation, information and documentation reasonably required for the provision of the Services, and the Customer will be responsible for procuring any third party co-operation reasonably required for the provision of the Services.

5.2 Save as expressly provided in the Agreement, the Customer will be responsible for obtaining suitable licences of third party software (such as email client software) which are required for the full use of the Services.

5.3 It is the Customer’s responsibility to keep any passwords relating to the Services confidential, and to change such passwords on a regular basis.  The Customer will notify the Company immediately if it becomes aware that a password relating to the Services is or may have been compromised or misused.

5.4 The Services are provided to the Customer only, and the Customer must not resell or otherwise provide or make available the Services to any third party without prior agreement by Conversion Marketing Ltd.

6. Use of the Services

6.1 The Customer must not use any of the Services:

(a) to host, store, send, relay or process any:

(i) material which breaches any applicable laws, regulations or legally binding codes, or infringes any third party Intellectual Property Rights or other third party rights, or may give rise to any form of legal action against the Company or the Customer or any third party;

(ii) pornographic or lewd material; or

(iii) messages or communications which are offensive, abusive, indecent or obscene, are likely to cause annoyance, inconvenience or anxiety to another internet user, or constitute spam or bulk unsolicited mail;

(b) for any purpose which is unlawful, fraudulent, or infringes any third party rights;

(c) in any way which may put the Company in breach of a contractual or other obligation owed by the Company to any internet service provider.

6.2 The Customer must ensure that all materials provided to the Company by or on behalf of the Customer in connection with the Agreement, and the use of those materials by the Company in accordance with the terms of the Agreement will not infringe any person’s Intellectual Property Rights or other legal rights, will not breach any applicable laws or regulations, and will not give rise to a cause of action against any person in any jurisdiction.

6.3 Where the Company reasonably suspects that there has been a breach of the provisions of this Clause 6, the Company may:

(a) delete or amend the relevant materials; and/or

(b) suspend any or all of the Services and/or the Customer’s access to any or all Services while it investigates the matter.

6.4 Any breach by the Customer of this Clause 6 will be deemed to be a material breach of the Agreement for the purposes of Clause 15.

7. Charges and payment

7.1 The Company will issue invoices for the Charges to the Customer in accordance with the provisions of the Proposal, Schedules and Statement(s) of Work.

7.2 The Customer will pay the Charges to the Company:

(a) on or before the dates set out in the relevant Proposal, Schedules or Statement(s) of Work; or

(b) where no such dates are set out in the relevant Proposal, Schedules or Statement(s) of Work, within 14 days of the date of issue/receipt of an invoice in accordance with Clause 7.1.

7.3 All Charges stated in or in relation to the Agreement are in New Zealand dollars and are stated exclusive of G.S.T, unless the context requires otherwise.

7.4 Charges must be paid by direct debit, bank transfer or by cheque (using such payment details as are notified by the Company to the Customer from time to time).

7.5 If the Customer does not pay any amount properly due to the Company under or in connection with the Agreement, the Company may:

(a) charge the Customer interest on the overdue amount at the rate of 5% per year above the floating base rate of BNZ Bank, New Zealand from time to time (which interest will accrue daily and be compounded quarterly); or

(b) claim interest and statutory compensation from the Customer pursuant to the New Zealand legislation “Interest on Money Claims Act 2016” and any updates, variations and amendments made to this Act.

7.6 The Company will:

(a) collect and collate evidence of all expenses passed on to the Customer through the Charges;

(b) retain such evidence during the Term and for a period of 12 months following the end of the Term; and

(c) supply such evidence to the Customer within 15 Business Days following receipt of a written request to do so.

7.7 The Company may vary the Charges at its discretion by giving to the Customer not less than 14 days’ written notice of the variation.

7.8 No delay in the issuing of an invoice constitutes a waiver of any right to issue an invoice for any Services.

8. Warranties

8.1 The Customer warrants to the Company that it has the legal right and authority to enter into and perform its obligations under the Agreement.

8.2 The Company warrants to the Customer:

(a) that it has the legal right and authority to enter into and perform its obligations under the Agreement; and

(b) that it will perform its obligations under the Agreement with reasonable care and skill.

8.3 All of the parties’ obligations in respect of the subject matter of the Agreement are expressly set out in the terms of the Agreement.  To the maximum extent permitted by applicable law, no other terms concerning the subject matter of the Agreement will be implied into the Agreement or any related contract.

9. Performance

9.1 Subject to clause 5.1, Conversion Marketing shall provide the Services as soon as reasonably practical after the Commencement Date and following payment (in full) of the First Invoice.

9.2 The Client shall provide Conversion Marketing with all necessary information, instructions, authorisations, and documentation as reasonably requested by Conversion Marketing, to enable Conversion Marketing to perform the Services as follows:

(a) Ongoing SEO Plans within 2 months of the Commencement Date; and

(b) Paid Search Campaign Management within 3 months of the Commencement Date.

9.3 The Client acknowledges and agrees that:

(a) any person specified or presented as performing a particular Service may (at Conversion Marketing’s absolute discretion) be replaced with another Conversion Marketing employee or contractor with similar skills and abilities; and

(b) Conversion Marketing may (at its absolute direction):

(i) change the manner in which the Services are to be performed; and

(ii) unless the frequency of providing a particular Service (or part thereof) is expressly specified in the Agreement, alter the frequency of the provision of any Service (or part thereof), provided there is no material adverse effect on the Service being provided.

10. Indemnity

The Customer hereby indemnifies and undertakes to keep indemnified the Company against all liabilities, losses, costs, expenses (including legal expenses and amounts paid upon advice in settlement of any legal action) arising out of or in connection with any breach by the Customer of any term of the Agreement.

11. Limitations and exclusions of liability

11.1 Nothing in the Agreement will:

(a) limit or exclude the liability of a party for death or personal injury resulting from negligence;

(b) limit or exclude the liability of a party for fraud or fraudulent misrepresentation by that party;

(c) limit any liability of a party in any way that is not permitted under applicable law; or

(d) exclude any liability of a party that may not be excluded under applicable law.

11.2 The limitations and exclusions of liability set out in this Clause 11 and elsewhere in the Agreement:

(a) are subject to Clause 11.1;

(b) govern all liabilities arising under the Agreement or any collateral contract or in relation to the subject matter of the Agreement or any collateral contract, including liabilities arising in contract, in tort (including negligence) and for breach of statutory duty; and

(c) will not limit or exclude / limit and exclude the liability of the parties under the express indemnities set out the Agreement.

11.3 The Company will not be liable in respect of any loss of profits, income, revenue, use, production or anticipated savings.

11.4 The Company will not be liable for any loss of business, contracts or commercial opportunities.

11.5 The Company will not be liable for any loss of or damage to goodwill or reputation.

11.6 The Company will not be liable in respect of any loss or corruption of any data, database or software.

11.7 The Company will not be liable in respect of any special, indirect or consequential loss or damage.

11.8 The Company will not be liable for any losses arising out of a Force Majeure Event.

11.9 The Company’s liability in relation to any event or series of related events will not exceed:

(a) the total amount paid and payable by the Customer to the Company under the Agreement during the 12 month period immediately preceding the event or events giving rise to the claim.

11.10 The Company’s maximum aggregate liability under the Agreement and any collateral contracts arising out of any claim for loss and/or damages (for any cause whatsoever) will under no circumstances exceed:

(a) an amount equal to the total amount paid and payable by the Customer to the Company under the Agreement in the 12 month period immediately preceding the event giving rise to liability.

12. Data protection.

12.1 The Customer warrants that it has the legal right to disclose all Personal Data that it does in fact disclose to the Company under the Agreement, and that the processing of that Personal Data by the Company for the purposes of and in accordance with the terms of the Agreement will not breach any applicable laws (including the Data Protection Act 1998).

12.2 The Company warrants that:

(a) it will act only on instructions from the Customer in relation to the processing of any Personal Data performed by the Company on behalf of the Customer; and

(b) it has in place appropriate security measures (both technical and organisational) against unlawful or unauthorised processing of Personal Data and against loss or corruption of Personal Data processed by the Company on behalf of the Customer.

13. Confidentiality

13.1 Each party will keep confidential the Confidential Information of the other party, and will not disclose that Confidential Information except as expressly permitted by this Clause 13.

13.2 Each party will protect the confidentiality of the Confidential Information of the other party using at least reasonable security measures.

13.3 The Confidential Information of a party may be disclosed by the other party to its employees and professional advisers, provided that each recipient is legally bound to protect the confidentiality of the Confidential Information.

13.4 These obligations of confidentiality will not apply to Confidential Information that:

(a) has been published or is known to the public (other than as a result of a breach of the Agreement);

(b) is known to the receiving party, and can be shown by the receiving party to have been known to it, before disclosure by the other party; or

(c) is required to be disclosed by law, or by an order (binding upon the relevant party) of a competent governmental authority, regulatory body or stock exchange.

14. Publicity

Neither party will make any public disclosure relating to the Agreement (including press releases, public announcements and marketing materials) without the prior written consent of the other party, not to be unreasonably withheld or delayed.

15. Termination

15.1 Either party may terminate the Agreement at any time by giving at least 30 days’ written notice to the other party expiring at any time after the later of:

(a) the end of the Minimum Term; and

(b) the end of any minimum period specified in any Proposal, Schedule or Statement of Work.

15.2 Either party may terminate the Agreement immediately by giving written notice to the other party if the other party:

(a) commits any material breach of any term of the Agreement, and:

(i) the breach is not remediable; or

(ii) the breach is remediable, but the other party fails to remedy the breach within 30 days of receipt of a written notice requiring it to do so; or

(b) persistently breaches the terms of the Agreement.

15.3 Either party may terminate the Agreement immediately by giving written notice to the other party if:

(a) the other party:

(i) is dissolved;

(ii) ceases to conduct all (or substantially all) of its business;

(iii) is or becomes unable to pay its debts as they fall due;

(iv) is or becomes insolvent or is declared insolvent; or

(v) convenes a meeting or makes or proposes to make any arrangement or composition with its creditors;

(b) an administrator, administrative receiver, liquidator, receiver, trustee, manager or similar is appointed over any of the assets of the other party;

(c) an order is made for the winding up of the other party, or the other party passes a resolution for its winding up (other than for the purpose of a solvent company reorganisation where the resulting entity will assume all the obligations of the other party under the Agreement); or

(d) (where that other party is an individual) that other party dies, or as a result of illness or incapacity becomes incapable of managing his or her own affairs, or is the subject of a bankruptcy petition or order.

16. Effects of termination

16.1 Termination of the Agreement will not affect either party’s accrued rights (including accrued rights to be paid) as at the date of termination.

16.2 Subject to Clause 16.1, upon termination all the provisions of the Agreement will cease to have effect, save that:

(a) the following provisions of the Agreement will survive and continue to have effect (in accordance with their terms or otherwise indefinitely): Clauses 1, 7.5, 7.6, 7.7, 10, 11, 13, 16, 17 and 20; and

(b) the provisions of the Schedules and Statements of Work expressed to survive and continue to have effect will do so (in accordance with their terms of otherwise indefinitely).

16.3 If the Agreement is terminated under Clause 15.1, or by the Customer under Clause 15.2 or 15.3 (but not in any other case) the Customer will be entitled to a refund of any Charges paid by the Customer to the Company in respect of any Services which were to be performed after the date of effective termination, and will be released from any obligation to pay such Charges to the Company (such amount to be calculated by the Company using any reasonable methodology).

16.4 Save as provided in Clause 16.3, the Customer will not be entitled to any refund of Charges on termination, and will not be released from any obligation to pay Charges to the Company.

17. Non-solicitation

The Customer will not, without the other party’s prior written consent, during the Term or for a period of 6 months after the end of the Term, directly or indirectly, either for itself / himself / herself or for any other person, firm or company:

(a) solicit the business of any person, firm, company or otherwise who is or was a client, customer, supplier, sub-contractor or agent of  the Company; or

(b) engage, employ or otherwise solicit for employment any employee or contractor of the Company involved in the performance of the Agreement.

18. Restraint

18.1 The Client shall not attempt to compete in any way with Conversion Marketing, or make any Intellectual Property of Conversion Marketing available to any third parties in any form whatsoever.

18.2 The Client will not offer employment to any Conversion Marketing employee or sub-contractor or induce or solicit any such person to take up employment with the Client; nor will the Client use the services of any such person, either independently or via a third party, for a period of twelve months following the end of any involvement by that person with any assignment for the Client.

18.3 The Client shall not employ or appoint any service provider that operates in competition to Conversion Marketing during the term of this Agreement whereby such employment or appointment is likely to interfere with the performance of the work in relation to the Services under this agreement or affect the interpretation of which service provider has contributed to the positive or negative outcomes of the service for the Client.

19. Notices

19.1 Any notice given under the Agreement must be in writing (whether or not described as “written notice” in the Agreement) and must be delivered personally, sent by pre-paid fast post or courier, or sent by fax or email, for the attention of the relevant person, and to the relevant address, fax number or email address given in the applicable Statement of Work (or as notified by one party to the other in accordance with this Clause).

19.2 A notice will be deemed to have been received at the relevant time set out below (or where such time is not within Business Hours, when Business Hours next begin after the relevant time set out below):

(a) where the notice is delivered personally, at the time of delivery;

(b) where the notice is sent by pre-paid fast post or courier, 72 hours after posting; and

(c) where the notice is sent by fax or email, at the time of the transmission (providing the sending party retains written evidence of the transmission).

20. General

20.1 No breach of any provision of the Agreement will be waived except with the express written consent of the party not in breach.

20.2 If a Clause of the Agreement is determined by any court or other competent authority to be unlawful and/or unenforceable, the other Clauses of the Agreement will continue in effect.  If any unlawful and/or unenforceable Clause would be lawful or enforceable if part of it were deleted, that part will be deemed to be deleted, and the rest of the Clause will continue in effect (unless that would contradict the clear intention of the parties, in which case the entirety of the relevant Clause will be deemed to be deleted).

20.3 Nothing in the Agreement will constitute a partnership, agency relationship or contract of employment between the parties.

20.4 The Agreement may not be varied except by a written document signed by or on behalf of each of the parties.

20.5 The Company may freely assign its rights and obligations under the Agreement without the Customer’s consent to any Affiliate of the assigning party or any successor to all or substantial part of the business of the assigning party from time to time.  Save as expressly provided in this Clause or elsewhere in the Agreement, neither party may without the prior written consent of the other party assign, transfer, charge, license or otherwise dispose of or deal in the Agreement or any rights or obligations under the Agreement.

20.6 The Company may subcontract any of its obligations under the Agreement to any third party.

20.7 Each party agrees to execute (and arrange for the execution of) any documents and do (and arrange for the doing of) any things reasonably within that party’s power, which are necessary to enable the parties to exercise their rights and fulfil their obligations under the Agreement.

20.8 The Agreement is made for the benefit of the parties, and is not intended to benefit any third party or be enforceable by any third party.  The rights of the parties to terminate, rescind, or agree any amendment, waiver, variation or settlement under or relating to the Agreement are not subject to the consent of any third party.

20.9 Subject to Clause 11.1:

(a) the Agreement will constitute the entire agreement between the parties in relation to the subject matter of the Agreement, and supersedes all previous agreements, arrangements and understandings between the parties in respect of that subject matter;

(b) neither party will have any remedy in respect of any misrepresentation (whether written or oral) made to it upon which it relied in entering into the Agreement; and

(c) neither party will have any liability other than pursuant to the express terms of the Agreement.

20.10 The Agreement will be governed by and construed in accordance with the laws of New Zealand; and the courts of New Zealand will have exclusive jurisdiction to adjudicate any dispute arising under or in connection with the Agreement.

21. Service Inclusions

21.1 During the Term Conversion Marketing will:

(a) supply telephone or other electronic support to the Client between the hours of 9:00am – 5:00pm Monday to Friday (“Business Hours”) in order to support Clients enjoyment of the Services;

(b) provide the services set out in the Conversion Marketing Services Specifications; and

(c) provide any additional services which have been agreed to in writing between Conversion Marketing and the Client, the provision of any additional services are subject to the terms of the Agreement and may incur additional fees.

22. Service Exclusions

22.1 Unless otherwise agreed in writing, Conversion Marketing has no liability for, and is not required to provide Services under this Agreement if it relates to:

(a) rectification of lost or corrupted data arising for any reason other than Conversion Marketing’s own negligence;

(b) support rendered more difficult because of any changes, alterations, additions, modifications or variations to the Services or the use of the system or operating environment;

(c) attendance to faults caused by using the Services outside design or other specifications or outside the provisions laid down in any documentation or manual supplied with the Services, or caused by operator error or omission;

(d) restoration of data files following failure to backup in accordance with Conversion Marketing’s recommended procedures;

(e) diagnosis and/or rectification of problems not associated with the Services;

(f) damage due to external causes outside Conversion Marketing’s control including accident, disaster, electrical fault, power surges, lightning, internet connection fault, vandalism or burglary;

(g) the Client not following Conversion Marketing or a third party (such as Google) written instructions for the Services;

(h) the Client’s or its third party’s abnormal use of the Services and/or any repair or damage caused by such misuse;

(i) any other Exclusions listed in the Conversion Marketing Services Specifications.

22.2 Conversion Marketing may choose to provide the above services at an additional cost to the Client (which will be invoiced separately).

23.  Privacy

23.1 The Client agrees to comply with the New Zealand legislation “Privacy Act 2020” in its dealings with Conversion Marketing. In particular, the Client warrants that it has made all necessary disclosures and obtained all consents required under the Act in respect of personal information given to or accessed by Conversion Marketing in connection with this Agreement. The Client indemnifies and keeps indemnified Conversion Marketing from and against all costs, losses, damages, claims and expenses arising from the Client’s breach of this warranty.

23.2 By entering into this Agreement, the Client confirms that it has read the Conversion Marketing Privacy Policy which can be found at https://conversionmarketing.co.nz/privacy-policy/ The Client may request a hard copy from Conversion Marketing by emailing info@conversionmarketing.co.nz

23.3 The Client agrees that Conversion Marketing may process their data as described in the Conversion Marketing Privacy Policy and for no other purposes.  Conversion Marketing may access your data for the following reasons:

  • To assist with a support request you make;
  • To safeguard Conversion Marketing  by viewing the logs and metadata to ensure the security of your data and the Services; or
  • To the extent required by applicable law.

24.  Security

24.1 Notwithstanding the security precautions taken against disclosure of information, there are certain conditions that exist on the Internet generally which are outside Conversion Marketing’s control and could result in a breach of security. The Client hereby expressly waives any claim against Conversion Marketing arising out of the loss of data through corruption, piracy, and breach of security or for any other reason.

Schedule 1

Development Services

1. Definitions and interpretation

1.1 In this Schedule:

Acceptance Criteria” has the meaning given to it in Paragraph 3.2;

Acceptance Period” means the period specified as such in the Statement of Work;

Customer Materials” means all works and materials provided by or on behalf of the Customer to the Company for incorporation into the Deliverables;

Defect” means a defect, error or bug having a material adverse effect on the appearance, operation or functionality of the Deliverables but excluding any defect, error or bug caused by or arising as a result of:

(a) an act or omission of the Customer, or an act or omission of one of the Customer’s employees, officers, agents or sub-contractors;

(b) an incompatibility between the Deliverables and any other application, program or software (other than the Customer Materials and the Third Party Works);

Design Elements” means the visual appearance of the Deliverables (including page layouts, artwork, photographs, logos, graphics, animations, video works and text comprised in the Deliverables) together with all mark-ups and style sheets comprised in or generated by the Deliverables, but excluding:

(a) the Customer Materials; and

(b) the Third Party Works;

Development Charges” means the Charges specified as such in the Statement of Work;

Development Services” means the Services to be provided under this Schedule, as detailed in Paragraph 2.1;

Deliverables” means the website(s), web application(s), software and/or database(s) to be developed by the Developer for the Customer under this Schedule;

Delivery Date” means the date specified as such in the Statement of Work;

Software Elements” means the Deliverables excluding:

(a) the Design Elements;

(b) the Customer Materials; and

(c) the Third Party Works; and

Specification” means the specification for the Deliverables set out in the Statement of Work;

Third Party Works” means the works and materials comprised in the Website, the Intellectual Property Rights in which are owned in whole or part by a third party and which are specified in the Specification (excluding the Customer Materials).

1.2 References in this Schedule to Paragraphs are to the paragraphs of this Schedule, unless otherwise stated.

2. Development Services

2.1 The Company will:

(a) design, develop and deliver the Deliverables;

(b) incorporate the Customer Materials and Third Party Works into the Deliverables;

(c) keep the Customer informed of the progress of the development of the Deliverables; and

(d) provide the Customer with reasonable access to the Deliverables during their development,

(the “Development Services”).

2.2 Subject to Paragraph 2.3, the Company will use all reasonable endeavours to perform the Development Services in accordance with the timetable set forth in the Statement of Work.

2.3 Without prejudice to the provisions of Paragraph 2.2, the Company does not guarantee that the timetable referred to in Paragraph 2.2 will be met.

3. Delivery and acceptance

3.1 The Company will use all reasonable endeavours to deliver the Deliverables to the Customer for acceptance testing on or before the Delivery Date.

3.2 During the Acceptance Period, the Customer will carry out acceptance tests to determine:

(a) whether the Deliverables conform in all material respects with the Specification; and

(b) whether the Deliverables have any Defects,

(the “Acceptance Criteria”).

3.3 If the Deliverables meet the Acceptance Criteria, the Customer will send to the Company a written notice during the Acceptance Period confirming acceptance of the Deliverables.

3.4 If the Deliverables do not meet the Acceptance Criteria:

(a) the Customer will send to the Company a written notice during the Acceptance Period setting out in detail the respect(s) in which the Deliverables do not meet the Acceptance Criteria; and

(b) the Company will have a further remedial period (of 20 Business Days) to modify the Deliverables so that they meet the Acceptance Criteria.

3.5 The Deliverables will be deemed to have been accepted by the Customer if:

(a) the Customer does not give any notice to the Company under either Paragraph 3.3 or 3.4 during the Acceptance Period; or

(b) the Customer publishes the Deliverables or uses the Deliverables for any purpose other than development and/or testing.

4. Intellectual Property Rights

4.1 From the date of acceptance of the Deliverables by the Customer, the Company hereby assigns to the Customer with full title guarantee all Intellectual Property Rights in the Design Elements.  These rights are assigned for the whole term of such rights together with all reversions, revivals, extensions and renewals, and this assignment includes the right to bring proceedings for past infringement of the assigned Intellectual Property Rights.

4.2 The Third Party Works will be (as agreed between the parties):

(a) supplied in accordance with the relevant licensor’s standard terms for online use;

(b) supplied on licence terms notified by the Company to the Customer; and/or

(c) sub-licensed by the Company to the Customer on terms notified by the Company to the Customer; and/or

(d) sub-licensed by the Company to the Customer on the basis of a non-exclusive, worldwide, royalty-free licence to use the Third Party Works in connection with the Deliverables.

4.3 Notwithstanding any other provision of the Agreement, the assignments and licences granted by the Company under this Schedule are subject to the payment by the Customer of all amounts owing to the Company under this Schedule in full and on time.  In the event that the Customer owes any amount to the Company under this Schedule and fails to pay that amount to the Company within 30 days of receiving a notice:

(a) requiring it to do so; and

(b) specifying that the assignments will revert and the licences will terminate if the amount remains unpaid, then the Company may immediately revert the assignments and terminate the licences granted by the Company under this Schedule by giving written notice of reversion and termination to the Customer.

4.4 Subject to Paragraph 4.3, upon and following the termination of the Agreement, any licence granted by the Company to the Customer will continue notwithstanding termination, and this Paragraph 4 will continue to apply.

4.5 Without prejudice to Paragraph 4.6, the Company waives (and will use reasonable endeavours to seek to ensure that its employees and subcontractors waive) any moral rights they may have in the Deliverables arising under Chapter 4 of the Copyright, Designs and Patents Act 1988 and, so far as is legally possible, any broadly equivalent rights anywhere in the world.

4.6 The Company may include the statement “Designed by Conversion Marketing” or “Website Design by Conversion Marketing” together with a link to the Company’s website on each page of any website comprised in the Deliverables in a position and in a form to be agreed by the parties.  The Customer will retain any such credits and links in any adapted version of any website comprised in the Deliverables, and the Customer will (and will only) remove any such credits and links at the Company’s request.

5. Additional Warranties

5.1 The Company warrants to the Customer:

(a) the Deliverables will meet the Specification as at the date of actual delivery to the Customer;

(b) that the use of the Deliverables (excluding the Customer Materials) by the Customer in accordance with the terms of the Agreement will not infringe the Intellectual Property Rights of any third party; and

(c) that the Deliverables will continue to operate without any Defects for a period of six months from the date of acceptance of the Deliverables (and if the Deliverables do not so operate, the Company will, for no additional charge, carry out any work necessary in order to ensure that the Deliverables operate without any Defects during this period).

5.2 The Customer acknowledges that the Company will design the Deliverables to work with the following web browser and web server technologies:

Firefox, Internet Explorer, Chrome and Safari

and the Company does not warrant that the Deliverables will work with any other web browser or web server technologies.

5.3 The Customer further acknowledges that the Company does not purport to provide any legal advice under the Agreement or in relation to the Deliverables and the Company does not warrant that the Deliverables will not give rise to any civil or criminal legal liability on the part of the Customer or any other person.

5.4     The Customer further acknowledges that any services provided by a third party as notified in the Statement of Work are subject to the terms and conditions, Acceptable Use Policy, updates and changes at the sole discretion of the third party provider/licensor. The Company is in no way liable or responsible for any such changes or requirements made by the third party provider.

6. Development Charges

The Development Charges, and dates upon or after which the Company may issue invoices for the Development Charges, are as set out in the Statement of Work.

7. Term of Schedule

7.1 This Schedule will come into force on the date of execution of the relevant Statement of Work, and will continue in force until cancelled in accordance with Paragraph 7.2.

7.2 This Schedule (and the provisions of any Statement of Work relating to this Schedule) will be automatically cancelled:

(a) upon the later of:

(i) the acceptance of the Deliverables by the Customer in accordance with Paragraph 4; and

(ii) the payment of all Charges due to the Company under this Schedule by the Customer; or

(b) on the date of effective termination of the Agreement under Clause 15.

Schedule 2

Hosting Services

1. Definitions and interpretation

1.1 In this Schedule:

Hosted Materials” means all websites, web applications, software, information, data, databases and other works and materials stored, transmitted, published or  processed using the Hosting Services;

Hosting Charges” means the charges specified in the Statement of Work;

Hosting Services” means the services provided or to be provided by the Company to the Customer under this Schedule, as detailed in Paragraphs 2 to 6; and

Resource Limits” means the limits on the use of resources through the Hosting Services set out in the Statement of Work.

1.2 References in this Schedule to Paragraphs are to the paragraphs of this Schedule, unless otherwise stated.

2. Transition

The Company will:

(a) where the Company holds any Customer website(s) on its development servers, transfer such website(s) from its development servers; or otherwise

(b) at the request of the Customer, use reasonable endeavours to assist with the transition of any Customer website(s) from any third party host.

3. Shared hosting

3.1 This Paragraph 3 will apply if and only if shared hosting is specified in a Statement of Work.

3.2 The Company will make available to the Customer hosting capacity on a shared server meeting the specification set out in the Statement of Work in all material respects.

3.3 The Company may make available to the Customer the ability to access, update or amend the Hosted Materials by FTP or similar means.

3.4 For the avoidance of doubt, the Customer will have not have administration rights in relation to any shared server, and the Company may refuse any request to change the configuration of a shared server at its sole discretion

4. Email services

4.1 This Paragraph 4 will apply if and only if email services are specified in a Statement of Work.

4.2 The Company will upon request provide POP3/IMAP and webmail email services to the Customer, including email transmission, storage and/or management services meeting the specification set out in the Statement of Work.

4.3 Mailboxes will not be protected by anti-spam and anti-virus software.

4.4 If the Customer or a mailbox exceeds the relevant storage limit notified by the Company to the Customer from time to time, the Company may delete stored emails to bring the Customer or mailbox within the storage limit.

5. Resource Limits

5.1 The Customer’s utilisation of resources through the Hosting Services must not exceed the Resource Limits.

5.2 The Customer acknowledges that the Company may use technical measures to prevent the Customer exceeding the Resource Limits.

5.3 If the Customer’s utilisation of Hosting Services exceeds or threatens to exceed the Resource Limits, the parties will endeavour to agree a variation to the Agreement. If the parties cannot agree such a variation within a reasonable period (being not more than 30 days) following notice from the Company to the Customer requesting such variation, and Resource utilisation continues to exceed those limits, the Customer will be deemed to be in material breach of the Agreement.

6. Availability and scheduled maintenance

6.1 Subject to Paragraph 6.2, the Company will use reasonable endeavours to maintain the Hosting Services at the availability level specified in the Statement of Work.

6.2 The Company may suspend some or all of the Hosting Services in order to carry out scheduled maintenance or repairs.  The Company will use reasonable endeavours to ensure that the Hosting Services are not suspended under this Paragraph during Business Hours.

7. Hosting Charges

The Company will issue invoices for the Hosting Charges to the Customer from time to time during the Term.

8. Hosting indemnity

The Customer hereby indemnifies and undertakes to keep indemnified the Company against all liabilities, losses, costs, expenses (including legal expenses and amounts paid upon advice in settlement of any legal action) arising out of or in connection with any activity upon, or any breach of security of, the Customer’s dedicated or co-located server, and any malfunction of the Customer’s co-located server.

9. Term of Schedule

9.1 This Schedule will come into force on the date of execution of the relevant Statement of Work, and will continue in force until cancelled in accordance with Paragraph 9.2 or 9.3.

9.2 This Schedule (and the provisions of any Statement of Work relating to this Schedule) will be automatically cancelled on the date of effective termination of the Agreement under Clause 15.

9.3 Either party may cancel this Schedule (and the provisions of any Statement of Work relating to this Schedule) by giving to the other party at least 30 days’ written notice of cancellation.

9.4 If this Schedule is cancelled under Paragraph 9.3, or terminated by the Customer under Clause 15.2 or 15.3;

(a) the Company will promptly provide to the Customer an electronic copy of the Hosted Materials; and

(b) the Company will provide such assistance as is reasonably requested by the Customer to transfer the hosting of the Hosted Materials to the Customer or another service provider, subject to payment of the Company’s reasonable expenses.

Schedule 3

Support and Maintenance Services

1. Definitions and interpretation

1.1 In this Schedule:

Support and Maintenance Charges” means the charges specified in respect of the Support and Maintenance Services in the Statement of Work, and any additional charges applied under Paragraph 6;

Support and Maintenance Services” means the Services specified in Paragraphs 2 to 6;

Supported System” means the system identified as such in the Statement of Work; and

Upgrades” means new versions of, and updates to, the Supported System, whether for the purpose of fixing an error, bug or other issue in the Supported System or enhancing the functionality of the Supported System.

1.2 References in this Schedule to Paragraphs are to the paragraphs of this Schedule, unless otherwise stated.

2. Helpdesk

2.1 The Company will make available, during Business Hours, a telephone and email helpdesk facility for the purpose of (inter alia) providing support to the Customer. This helpdesk facility service is a charged service and will be provided in accordance with the terms laid out and agreed upon in the Statement of Work.

2.2 Subject to Paragraph 2.3, the Customer must make all requests for Support and Maintenance Services through the helpdesk, and all such requests must include at least the following information: The name of the service provided, a contact name and number for the person requiring assistance, a clear description of the query or service issue.

2.3 The Company will use reasonable endeavours to ensure that a member of its support staff can be reached by mobile phone outside Business Hours in the case of an emergency.

3. Response and resolution times

3.1 The Company will:

(a) use reasonable endeavours to respond to requests for Support and Maintenance Services made through the helpdesk;

(b) use reasonable endeavours to resolve issues raised by the Customer

3.2 The Company will determine, acting reasonably, in to which severity category an issue raised through the Support and Maintenance Services falls.

4. Back-ups

4.1 The Company will not make back-ups of email messages that have been downloaded by the Customer.

4.2    The Company will not nor make back-ups of any websites that are hosted on third-party hosted platforms such as Weebly, Shopify and Magento Go and other similar platforms.

5. Upgrades

5.1 The Company will:

(a) give to the Customer reasonable prior notification of the general release of an Upgrade to the customers of the Company;

(b) provide copies of such Upgrades to the Customer promptly following the general release of the relevant Upgrade to the customers of the Company; and

(c) apply such Upgrades to the Supported System promptly following the general release of the relevant Upgrade to the customers of the Company.

6. Limits on Support and Maintenance Services

Where the total person-hours spent by the Company performing the Support and Maintenance Services during any week exceed 1 hour, then:

(a) the Company will cease to have an obligation to provide Support and Maintenance Services to the Customer during that period; providing that

(b) the Company may agree to provide additional Support and Maintenance Services] to the Customer during that period, but the provision of such services will be subject to payment by the Customer of additional Support and Maintenance Charges at the Company’s standard hourly rates from time to time.

7. Support and Maintenance Charges

The Company will issue invoices for the Support and Maintenance Charges to the Customer monthly during the Term

8. Term of Schedule

8.1 This Schedule will come into force on the date of execution of the relevant Statement of Work, and will continue in force until cancelled in accordance with Paragraph 8.2 or 8.3.

8.2 This Schedule (and the provisions of any Statement of Work relating to this Schedule) will be automatically cancelled on the date of effective termination of the Agreement under Clause 15.
8.3 Either party may cancel this Schedule (and the provisions of any Statement of Work relating to this Schedule) by giving to the other party at least 30 days’ written notice of cancellation.

Schedule 4

Domain Name Services

1. Definitions and interpretation

1.1 In this Schedule:

Domain Name Charges” means the charges referred to in Paragraph 3.1; and

Domain Name Services” means the Services detailed in Paragraph 2.

1.2 References in this Schedule to Paragraphs are to the paragraphs of this Schedule, unless otherwise stated.

2. Domain Name Services

2.1 Subject to the payment of the applicable Domain Name Charges in advance, the Company will attempt to register domain names that the Customer orders using the interface on a professional New Zealand Domain registrar but does not warrant that it will be able to do so.

2.2 The Company may reject in its sole discretion any request to register a particular domain name.

2.3 The Customer warrants that the information submitted for the purposes of a domain name registration is current, accurate and complete, that it has the legal right to apply for and use the domain name, and that its use of the domain name will not infringe any person’s Intellectual Property Rights or other legal rights.

2.4 The Customer undertakes to keep the information required for the purposes of a domain name registration up-to-date (which changes may be subject to additional Charges).

2.5 The Customer acknowledges that certain information submitted for the purposes of a domain name registration will be published on the internet via “WHOIS” services.

2.6 The Customer acknowledges that domain names will be subject to the rules and policies from time to time of the relevant registry or registration authority, and the Customer agrees to abide by all such rules and policies.

2.7 The Company will not offer any advice in relation to any actual or potential domain name dispute, and will have no liability in respect of the suspension or loss of a domain name by the Customer as a result of any domain name arbitration procedure or court proceedings.

2.8 The Company will have no responsibility for the Customer’s use or retention of a domain name once registered, and it will be the Customer’s responsibility to ensure that domain names are renewed and that applicable renewal charges are paid.

2.9 The Customer agrees to the terms of the applicable domain name registration agreement (as amended from time to time)

3. Domain Name Charges

3.1 The Domain Name Charges consist of the charges specified in the applicable Statement of Work.

3.2 Notwithstanding Clause 16.3, Domain Name Charges are non-refundable.

3.3 The Company will issue invoices for the Domain Name Charges to the Customer from time to time during the Term.

3.4 The applicable Domain Name Charges must be paid before the Company will attempt to register a domain name.

4. Term of Schedule

4.1 This Schedule will come into force on the date of execution of the relevant Statement of Work, and will continue in force until cancelled in accordance with Paragraph 4.2 or 4.3.

4.2 This Schedule (and the provisions of any Statement of Work relating to this Schedule) will be automatically cancelled on the date of effective termination of the Agreement under Clause 15.

4.3 Either party may cancel this Schedule (and the provisions of any Statement of Work relating to this Schedule) by giving to the other party at least 30 days’ written notice of cancellation.

Schedule 5

SSL Certificate Services

1. Definitions and interpretation

1.1 In this Schedule:

SSL Certificate Charges”  means the charges referred to in Paragraph 3.1; and

SSL Certificate Services” means the Services detailed in Paragraph 2.

1.2 References in this Schedule to Paragraphs are to the paragraphs of this Schedule, unless otherwise stated.

2. SSL Certificate Services

2.1 Subject to the payment of the applicable Charges in advance, the Company will attempt to obtain SSL certificates that the Customer orders from the Company.

2.2 The Customer warrants that the information submitted to the Company for the purposes of an SSL certificate is current, accurate and complete.

2.3 The Customer undertakes to keep the information required for the purposes of an SSL certificate up-to-date.

2.4 The Customer agrees to the terms of the applicable SSL subscription agreement as amended from time to time.

3. SSL Certificate Charges

3.1 The SSL Certificate Charges consist of the charges specified in the applicable Statement of Work.

3.2 Notwithstanding Clause 16.3, SSL Certificate Charges are non-refundable.

3.3 The Company will issue invoices for the SSL Certificate Charges to the Customer from time to time during the Term.

3.4 The applicable SSL Certificate Charges must be paid before the Company will attempt to register a domain name.

4. Term of Schedule

4.1 This Schedule will come into force on the date of execution of the relevant Statement of Work, and will continue in force until cancelled in accordance with Paragraph 4.2 or 4.3.

4.2 This Schedule (and the provisions of any Statement of Work relating to this Schedule) will be automatically cancelled on the date of effective termination of the Agreement under Clause 15.

4.3 Either party may cancel this Schedule (and the provisions of any Statement of Work relating to this Schedule) by giving to the other party at least 30 days’ written notice of cancellation.

Schedule 6

Web Marketing Services

1. Definitions and interpretation

1.1 In this Schedule:

Promoted Website” means the website or websites specified in the Statement of Work;

Web Marketing Charges” means the charges detailed in Paragraph 7.1; and

Web Marketing Services” means the Services described in Paragraph 2.

Digital Marketing Services” means the Services described in Paragraph 2 and includes the services detailed in Schedule 6, Clause 10 “Paid Advertising Management”.

1.2 References in this Schedule to Paragraphs are to the paragraphs of this Schedule, unless otherwise stated.

2. Web Marketing Services

2.1 From the date of execution of the relevant Statement of Work, the Company will promote the Promoted Website; and promotion of the Promoted Website may include the provision of some or all of the following Web Marketing Services:

(a) modification of the Promoted Website (including adding, deleting and/or altering text, images, pages,  meta-tags, titles, mark-ups, style sheets, scripts, internal and external links and Promoted Website structure);

(b) paid and unpaid submission of the Promoted Website to search engines and directories;

(c) the creation and publication of material relating to the Promoted Website on other websites;

(d) drafting and issuing electronic press releases;

(e) link building;

(f) the arrangement of internet advertising including pay-per-click advertising, pay-per-view advertising, banner advertising, and other forms of paid internet advertising;

(g) the implementation and/or utilisation of affiliate marketing programmes;

(h) the management and operation of an email marketing programme; and/or

(i) other website promotion techniques whether known at the date of the Agreement or discovered or disseminated thereafter.

2.2 During the Term Conversion Marketing will:

(a) provide the Services to the Client with all due care and skill and in a professional manner consistent with generally-accepted industry standards;

(b) assist the Client in the establishment of a digital strategy in order to maximise the effectiveness of the Services;

(c) keep the Clients nominated contact(s) informed of the progress of the Services;

(d) inform the Client of any issues, which Conversion Marketing reasonably believes may impact on the provision of the Services; and

(e) provide the Client with detailed monthly reports of Services rendered unless agreed otherwise in writing.

2.3 Provision of the Services may require the collection of website performance data (sourced from Google Analytics and other third-party service providers) which will include, but is not limited to:

(a) user number records, session number and session length details, conversion rates, goal completions, bounce rates, demographic and geolocation data, scroll depth, document downloads, error rates, page views, average time on page, exit percentage and raw data such as browser type, operating system type, network location and IP address; and

(b) any other performance data that may be reasonably required in connection with the provision of the Services, including keyword traffic volumes, search engine ranking data, call tracking records, advertising performance, customer lifetime value, and content performance (together, the “Data”).

2.4 The Client agrees that Conversion Marketing will, and permits Conversion Marketing to:

(a) collect, store and use Data pertaining to the Client during the provision of the Services for the purposes of providing the Services;

(b) collect, store and use historical Data pertaining to the Client relating to any period up to 24 months prior to the provision of the Services for the purposes of analysing performance history and providing year-on-year performance comparisons in connection with the provision of the Services; and

(c) retain any Data collected, stored and used pursuant to sub-clauses (a) and (b) above at Conversion Marketing’s discretion indefinitely or until such time as Conversion Marketing elects, in its sole discretion, to destroy such Data, for the purposes of Conversion Marketing’s internal analysis, use and review, provided that Conversion Marketing warrants and agrees not to disclose such Data to any third party or publicly without the prior authorisation of the Client.

2.5 Conversion Marketing reserves the right to collect and share aggregated data relating to the Client’s performance during their engagement with Conversion Marketing, including but not limited to, traffic and revenue growth by channel and date. Conversion Marketing uses this data to monitor and forecast Client’s performance. This data will remain anonymous to all person’s other than Conversion Marketing employees.

3. Customer responsibilities

3.1 The Customer will provide to the Company:

(a) the ability to access and make changes to the Website;

(b) assistance in determining appropriate keywords and keyword phrases which should be targeted using the Web Marketing Services;

(c) direct access to analytical data concerning the Promoted Website, such as data concerning referral sources, visitor activity, Promoted Website usage, conversion rates, and similar data.

3.2 The Customer will be responsible for procuring any third party co-operation reasonably required for the implementation and hosting of the Promoted Website and the provision of the other Web Marketing Services.

3.3 The Customer will be responsible for obtaining suitable licences of third party software (such as email client software) which are required for the full use of the Web Marketing Services.

4. Email marketing lists

Without prejudice to the generality of Clause 10, the Customer warrants that any marketing list (including any email marketing list) provided by the Customer, or on behalf of the Customer, to the Company will have been collected and collated in accordance with all applicable laws and regulations, and that the use of any such list by the Company for the purposes of the Web Marketing Services in accordance with the instructions of the Customer will not:

(a) breach any applicable laws (including the Data Protection Act 1998 and the Privacy and Electronic Communications (EC Directive) Regulations 2003);

(b) infringe any third party’s legal rights; or

(c) give rise to any cause of action whether against the Company, the Customer, or any other person.

5. Intellectual Property Rights

5.1 The Customer grants the Company a non-exclusive licence to use the Promoted Website to the extent required for the Company to perform its obligations and exercise its rights under the Agreement.

5.2 All Intellectual Property Rights in any works arising in connection with the performance of the Web or Digital Marketing Services by the Company will be the property of the Company.  Where the Company modifies the Promoted Website in the process of providing the Web Marketing Services, the Company hereby grants to the Customer a non-exclusive royalty-free licence to use such modifications in connection with the Website.

5.3 No right, title or interest in any Intellectual Property of Conversion Marketing or any third party shall be transferred to the Client under this Agreement. All Intellectual Property in the products and Services of Conversion Marketing, shall belong to Conversion Marketing, and the Client assigns all such rights to Conversion Marketing.

5.4 The Client agrees to abide by the terms of the Company’s license of any Software, and where the Software is provided by a third party, that third party’s license terms. If the Client does not agree to those terms, it shall not use the Software. If the terms of such license require payment by the Client, the Client shall make that payment in accordance with that license.

5.5 Clients shall make no commercial use of Conversion Marketing’s Intellectual Property without the prior written consent of Conversion Marketing.

6. Customer acknowledgements

6.1 The Customer acknowledges that:

(a) search engine algorithms will change from time-to-time, which may affect the Website’s rankings in the search engine results pages, and the Company has no control over such changes. Search engine rankings are dependent on numerous external factors, including the behaviour of competitors and the internal workings of search engines, both of which are beyond the control of Conversion Marketing. Since the search engines do not publish their ranking criteria or algorithms, a Search Engine Optimisation project is based on professional experience, opinions, toolset outputs and the current understanding of Conversion Marketing;

(b) it can take many months for the Web Marketing Services to have any significant effects upon the ranking of a Promoted Website in the search engine results pages;

(c) web site promotion is an ongoing task and, should the Customer terminate the Agreement and/or stop promoting the Website, that would be likely to have a negative impact upon the effects of the Web Marketing Services;

(d) the Company will not be responsible for any alterations to the Promoted Website made by the Customer or any third party that reverse or effect changes made to the Promoted Website by the Company as part of the Web Marketing Services;

(e) the promotion of the Promoted Website may lead to higher traffic levels and bandwidth requirements for the Website, and the Customer will be responsible for arranging and paying for such requirements; and

(f) notwithstanding the Web Marketing Services, the Website’s search engine results page rankings and traffic levels may decrease as well as increase.

6.2 The Company does not warrant that any particular results will be achieved through the Web Marketing Services.  Where the Company indicates specific targets that it will attempt to meet through the provision of the Web Marketing Services, such targets are not warranted and a failure to meet such targets will not be a breach of the Agreement.

7. Web Marketing Charges

7.1 The Web Marketing Charges are as specified in the Statement of Work.

7.2 The Company will issue invoices for the Web Marketing Charges to the Customer monthly during the Term or at the completion of any project facilitated on a Time and Materials basis at an agreed hourly rate.

8. Term of Schedule

8.1 This Schedule will come into force on the date of execution of the relevant Statement of Work, and will continue in force until cancelled in accordance with Paragraph 8.2 or 8.3.

8.2 This Schedule (and the provisions of any Statement of Work relating to this Schedule) will be automatically cancelled on the date of effective termination of the Agreement under Clause 15.

8.3 Either party may cancel this Schedule (and the provisions of any Statement of Work relating to this Schedule) by giving to the other party at least 30 days’ written notice of cancellation.

9. Warranties

9.1 that the Services will be performed by personnel who have the appropriate experience, skill, and qualifications necessary;

9.2 subject to clause 10.1 (d), that the Services delivered to the Client by Conversion Marketing will not violate or infringe the Intellectual Property rights of any third parties;

9.3 that Conversion Marketing will comply with all applicable laws, ordinances, rules, regulations, orders, licenses, permits and other contractual or governmental requirements, including without limitation those related to deceptive or unfair trade practices and privacy;

9.4 that in providing the Services provided under this Agreement Conversion Marketing shall not knowingly violate any of the rules and regulations set forth by any Internet search engines or marketing platform used on behalf of the client for Digital Marketing Services;

9.5 that Conversion Marketing shall not knowingly engage in any activity that would result in the Client being removed from a search engine’s index or otherwise penalised by such search engine; and

10. Paid Advertising Management

10.1 Conversion Marketing will set up paid advertising campaigns and deliver paid traffic to the Clients website. This can be from a variety of networks including, but not limited to, Google, Facebook, Programmatic channels, TikTok, LinkedIn and Bing. If paid traffic cannot be delivered to the website in question due to the editorial policies of the search engines or Networks regarding the acceptance of advertiser web properties, then the Client will be notified of the situation in writing. Conversion Marketing is not to be held liable in this situation. When subscribing to remarketing services through Conversion Marketing, it is the responsibility of the Advertiser to ensure that relevant Privacy Laws and Policies (Google, Facebook, LinkedIn and others) are in place regarding direct marketing.

10.2 Costs associated with media and clicks generated from running this service will be charged directly by respective platform for the majority of Networks. The Client authorises Conversion Marketing to provide your credit card details to the advertising platform for this purpose. These fees will appear as separate charges on the Clients credit card statement.

10.3 The Client agrees that Conversion Marketing is not responsible or liable for any incorrect payments charged by third party advertising platforms. The Client agrees to communicate directly with the advertising platform should any incorrect charges be made on your nominated account by a third party advertising platform. Conversion Marketing agrees to provide it’s reasonable assistance to facilitate communication between the Client and the Network (Google/Facebook/LinkedIn/TikTok/Bing) should this situation arise.

10.4 All paid platform accounts initially set up by Conversion Marketing are the property of Conversion Marketing. Upon termination or expiration of this Agreement, the Client may apply to Conversion Marketing to transfer ownership of the account which will be granted if the following conditions are met:

(a) The term of the agreement is realised; and

(b) All  invoices issued by Conversion Marketing have been paid in full and

(c) Where no specific term is specified, a 30 Day notice period has been complied with.

10.5 The Client must comply with guidelines for the respective paid advertising platforms.

10.6 If Conversion Marketing elects to use a paid platform account owned by the Client, changes to the account should only be made by Conversion Marketing staff. The Client can request changes to the account via the nominated Conversion Marketing account manager.

10.7 Please note that Conversion Marketing (a Premier Google Ads Certified Partner Company) is not directly affiliated with Google™. All Google™ related services, claims and guarantees are performed and underwritten by Conversion Marketing.
